1. Definition of Service

Magiclip (magiclip.io) is a platform allowing users to automatically edit and generate short-form videos using artificial intelligence. The service includes the generation of:

• Video clipping and trimming
• Automatic subtitles
• Voice-over and dubbing
• Aspect ratio conversion (9:16, 16:9, etc.)
• Content repurposing for social media (TikTok, Instagram, YouTube Shorts)

2. Access Modalities and Account Creation

2.1. To access Magiclip's services, the user must:

• Be of legal age or have the authorization of a legal representative
• Provide accurate and complete information during registration
• Maintain the confidentiality of their login credentials

2.2. Magiclip reserves the right to refuse access to the service to any user who does not comply with these conditions.

3. Paid Features

• Access to all features
• Unlimited video generation and exports
• High resolution for videos
• Priority support
• Export without watermark

4. Intellectual Property

4.1. Generated Content:

• The user retains all rights to the generated video outputs
• Magiclip grants itself a non-exclusive license to use anonymized clips for service improvement purposes
• The user guarantees that they have the necessary rights to the source content provided (e.g., YouTube videos, gameplay, etc.)

4.2. Platform:

• Magiclip retains all rights to the platform, its algorithms, and processing pipelines
• Use of the service does not grant any ownership rights over the underlying technology

4.3. User Responsibility for Generated Content:

• The user is solely responsible for the videos generated through Magiclip, including ensuring they do not infringe upon third-party intellectual property rights
• By using Magiclip, the user guarantees that the generated videos do not substantially reproduce or infringe protected works without authorization
• Magiclip disclaims all liability in case of illegal, fraudulent, or infringing use of the generated content

4.4. AI-Generated Content Disclaimer - USER'S FULL RESPONSIBILITY:

IMPORTANT: Magiclip provides AI-powered tools for video and image generation, including but not limited to Sora 2 and other AI models. By using our service, users acknowledge and agree that:

• ZERO RESPONSIBILITY: Magiclip has ZERO responsibility for ANY content generated by AI models. Users assume 100% of all risks and consequences
• USER'S SOLE LIABILITY: Users are ENTIRELY and EXCLUSIVELY responsible for ALL aspects of AI-generated content including but not limited to quality, accuracy, appropriateness, legality, and commercial use
• NO CONTROL OVER AI: Magiclip has no control over AI model outputs and cannot predict, prevent, or guarantee any specific results
• ALL RISKS ON USER: Users bear ALL risks including copyright infringement, trademark violations, defamation, privacy violations, offensive content, or any other legal issues
• MANDATORY REVIEW: Users MUST review, edit, and approve ALL AI-generated content before ANY use. No exceptions
• LEGAL COMPLIANCE: Users are SOLELY responsible for ensuring AI-generated content complies with ALL applicable laws, regulations, platform policies, and third-party rights
• NO WARRANTIES: Magiclip provides NO warranties whatsoever regarding AI-generated content originality, legality, quality, or commercial viability
• FULL INDEMNIFICATION: Users agree to FULLY indemnify, defend, and hold Magiclip COMPLETELY harmless from ANY and ALL claims, damages, losses, costs, or legal actions arising from AI-generated content
• NO RECOURSE: Users have NO recourse against Magiclip for ANY issues related to AI-generated content

5. Limitation of Liability

5.1. Magiclip undertakes to:

• Provide a service consistent with the descriptions presented
• Maintain optimal service availability
• Protect users' personal data

5.2. Magiclip cannot be held responsible for:

• Content generated by AI that may not meet expectations
• Service interruptions due to force majeure
• The user's use of the generated elements

6. Rules of Conduct

The user agrees to:

• Not use the service for illegal purposes or purposes contrary to public order
• Not attempt to circumvent the technical limitations of the service
• Not use the service to generate offensive, defamatory, or inappropriate content
• Respect the intellectual property rights of third parties

7. Applicable Law and Jurisdiction

7.1. These Terms of Use are governed by French law.

7.2. In case of dispute, French courts shall have sole jurisdiction.

7.3. The reference language for the interpretation of the Terms of Use is French.

8. Acceptance of the Terms of Use

8.1. Use of the service implies full and complete acceptance of these Terms of Use.

8.2. Magiclip reserves the right to modify these Terms of Use at any time. Users will be informed of significant changes.

8.3. Continued use of the service after modification of the Terms of Use constitutes acceptance of the new conditions.
